TERMS OF SERVICE AGREEMENT
Franchester Williams Media LLC
This document constitutes the Terms of Service (“Agreement”) between Franchester Williams Media LLC (“FWM”) and the Client.
By booking services, submitting payment, or signing an invoice or contract, the Client agrees to all terms outlined below.
1. Invoices & Payment Processing
FWM will issue an invoice upon booking, during the project, or upon completion of services. Payment is due by the specified date listed on the invoice. Failure to submit payment by the due date authorizes FWM to automatically process payment using the card on file within twenty-four (24) hours.
2. Deposit Requirement
A non-refundable deposit is required no later than seventy-two (72) hours prior to the scheduled shoot or filming date.
Last-minute payments will not be accepted. Any changes, cancellations, or rescheduling requests made within seventy-two (72) hours of the scheduled service will require a new non-refundable deposit to secure a new date.
3. Initial Payment & Outstanding Balance Requirement
The initial payment secures the booking and commencement of services.
Any remaining balance from the initial payment must be paid in full before any additional work, editing, revisions, reshoots, or final delivery of content will proceed.
FWM reserves the right to pause or terminate services if payment is not received as agreed.
4. Final Payment Policy
The final payment is due on the day of filming or service unless otherwise stated in writing.
No footage, edited content, or deliverables will be released until full payment has been received.
5. Work Suspension for Non-Payment
No additional work, revisions, editing, delivery, or continuation of services will occur while there is an outstanding balance.
FWM is not liable for project delays or non-delivery resulting from unpaid balances.
6. Delivery Time
Depending on the scope and size of the project, the editing and delivery process may take up to thirty (30) days after filming and full payment are received.
7. Footage Storage & Liability Disclaimer
FWM takes reasonable and professional precautions to safely handle, store, and back up all recorded media. However, the Client acknowledges that there is an inherent risk of data loss due to equipment failure, file corruption, accidental damage, theft, or other unforeseen circumstances beyond FWM’s control.
In the unlikely event that footage is lost, damaged, or rendered unusable, FWM’s liability shall be limited to a refund of amounts paid for the affected portion of the services, if applicable.
Under no circumstances shall Franchester Williams Media LLC be held liable for consequential, incidental, or indirect damages, including but not limited to loss of business, loss of income, emotional distress, or reputational harm.
8. Footage Policy
Footage will only be released upon receipt of full payment.
Any request to incorporate outside footage not shot by FWM requires prior approval and may incur additional fees. FWM reserves the right to reject footage not produced by FWM or its affiliates.
9. Raw Footage Policy
Raw footage is available for purchase at an additional cost of $150 if requested at the time of booking.
Requests made after filming may result in additional charges added to the final invoice.
10. Revisions
Each service package includes a predetermined number of revisions.
Additional revisions beyond the included amount will be billed at $175 per revision and must be paid before revisions are delivered.
11. No-Show Policy
A non-refundable fee of $75 applies to any no-call, no-show appointment if the Client fails to cancel at least forty-eight (48) hours in advance.
12. Payment Policy
Full payment is required regardless of the project’s completion status. Work already completed remains billable even if the Client elects to discontinue services.
13. Payment Methods
Accepted payment methods include cash, Venmo, major credit cards, or other approved electronic payment methods. Checks are not accepted.
14. Automatic Payment Authorization
If payment remains outstanding, FWM is authorized to automatically process the card on file within seventy-two (72) hours following the service date.
15. Late Payment Fee
A late fee of ten percent (10%) will be applied to balances overdue by more than seven (7) days.
16. Travel & Expenses
Clients requiring on-location services beyond five (5) miles from FWM’s studio are responsible for all additional travel expenses.
17. Equipment Damage
The Client agrees to reimburse FWM for any damage to equipment caused by the Client, attendees, or environment during the project or service.
18. Reshoot Policy
No reshoots will be provided while there is an outstanding balance.
Reshoots will not be granted due to personal decisions such as wardrobe, makeup, or performance choices.
19. Late Arrival Policy
If the Client arrives fifteen (15) minutes or more late, a $75 late fee will be added to the final invoice.
Alternatively, the Client may rebook the service but must submit a new non-refundable deposit.
CANCELLATION POLICY
1. Cancellation Period
Regular services: minimum 72 hours (3 days) notice
Large-scale or specialized projects: minimum 7 days notice
Cancellations must be submitted in writing via email or in person.
2. Non-Refundable Deposit
All deposits are non-refundable.
If canceled within the allowed timeframe, the deposit may be applied toward rescheduling within 90 days of the original service date.
3. Late Cancellation or No-Show
Cancellations made after the stated period or no-call, no-shows result in forfeiture of the deposit. Additional fees may apply if canceled within 24 hours.
4. Rescheduling
Rescheduling within the cancellation window may occur without penalty.
5. Project-Specific Cancellation
Large-scale or specialized projects canceled within seven (7) days result in forfeiture of the deposit.
6. Emergency Circumstances
Exceptions may be considered for documented emergencies at FWM’s discretion.
7. Reimbursement to FWM
FWM reserves the right to be reimbursed for any costs incurred due to late cancellations or no-shows.
8. Notice Requirement
Clients are responsible for providing timely written notice to qualify for rescheduling consideration.
